PUBLIC AGREEMENT (OFFER)

for ordering, purchase, sale, and delivery of goods

This agreement is the official public offer of the Seller to enter into a sale and purchase agreement for goods presented on the website https://usilok.com.ua/.

This agreement is public, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are identical for all buyers, regardless of their status (individual, legal entity, sole proprietor), without providing any advantages to one buyer over another.

By concluding this Agreement, the Buyer fully accepts the terms for placing orders, paying for goods, delivery, returns, liability for fraudulent orders, and all other provisions of the agreement.

The Agreement is considered concluded from the moment the Buyer clicks the “Confirm Order” button on the checkout page in the “Cart” section and receives electronic confirmation of the order from the Seller.

1. Definitions

1.1. Public Offer (Offer) – a public proposal by the Seller to conclude a remote sale and purchase agreement on the terms specified in this Offer.

1.2. Goods or Services – the object of the transaction, selected by the Buyer on the website and placed in the cart, or already purchased remotely from the Seller.

1.3. Online Store – the Seller’s website www.usilok.com.ua, created for the conclusion of retail and wholesale sale agreements through the internet.

1.4. Buyer – a legally competent individual over 18 years of age, placing an order for personal use, or a legal entity / sole proprietor.

1.5. Seller – FOP «Rusnak Ilona Tarasivna» (Tax ID: 2895113127), a legal entity established and operating according to the laws of Ukraine, address: Ukraine, Chernivtsi, Blvd. Heroiv Krut, 9/150.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer ownership of the goods to the Buyer, and the Buyer undertakes to pay for and accept the goods under this Agreement.

2.2. The date of conclusion of the Agreement (acceptance of the Offer) is considered the date the Buyer fills out the order form on the website and receives confirmation from the Seller. The Agreement may also be executed in written form at the Buyer’s request.

3. Order Placement

3.1. The Buyer may place an order via:

• the “Cart” form on the website,
• email,
• telephone, as indicated in the Online Store’s contacts.

3.2. The Seller may refuse to fulfill an order if the information provided is incomplete or suspected to be inaccurate.

3.3. When placing an order, the Buyer must provide:

• full name;
• delivery address (if applicable);
• contact phone number;
• Tax ID for legal entities or sole proprietors.

3.4. Product name, quantity, SKU, and price are specified in the Buyer’s cart on the website.

3.5. Either party may request additional information from the other if necessary.

3.6. Acceptance of the Offer occurs when the Buyer submits the required information in the registration form or through an operator.

3.7. The Buyer is responsible for the accuracy of the information provided.

3.8. By placing an order, the Buyer confirms:

• full familiarity and acceptance of the Offer terms;
• consent to collection, processing, and transfer of personal data for the duration of the Agreement and beyond;
• awareness of their rights under the Ukrainian Law “On Personal Data Protection,” and that the Seller may provide access to third parties to fulfill the order.

4. Price and Delivery

4.1. Prices are determined by the Seller and listed on the website in Ukrainian Hryvnia, inclusive of VAT.

4.2. Prices may change unilaterally, but the cost of already fully paid goods cannot be changed.

4.3. Delivery cost is not included and is paid separately by the Buyer according to the selected shipping service tariffs.

4.4. Payment obligations are fulfilled once funds are received by the Seller.

4.5. Upon receipt, the Buyer must inspect the goods for quantity and quality compliance.

4.6. Ownership and risk of accidental loss or damage transfer to the Buyer upon receipt of goods.

5. Rights and Obligations of the Parties

Seller’s obligations:

• deliver goods according to the agreement and order;
• not disclose private Buyer information, except as required by law or to fulfill the order.

Seller’s rights:

• unilaterally modify the agreement terms and prices, publishing changes on the website.

Buyer’s obligations:

• familiarize with agreement terms and prices;
• provide all necessary data for identification and delivery.

6. Returns

6.1. The Buyer may return non-food goods of proper quality within 14 days from purchase if the product does not meet expectations (size, style, color, etc.), provided the product:

• was not used;
• retains original packaging, seals, labels, and proof of purchase.

6.2. Refunds are made within 30 calendar days by bank transfer.

6.3. Return shipping cost is not reimbursed.

6.4. Custom-made or individually specified products cannot be returned.

7. Liability

• The Seller is not liable for damage caused by improper use or installation.
• The Seller is not responsible for delays due to inaccurate Buyer information.
• Force majeure (war, natural disasters) releases both parties from liability.

8. Confidentiality and Personal Data

• Providing personal data constitutes consent for processing, use, and transfer without limitation.
• The Seller does not disclose Buyer data, except as required by law or for order fulfillment.
• The Buyer is responsible for keeping personal data current.

9. Other Terms

• The Agreement is governed by Ukrainian law.
• Disputes are resolved via negotiation or in court under applicable law.
• The Seller may unilaterally amend the agreement, or changes may be made by mutual consent.
